1. GIVEAWAY DESCRIPTION.  

The “WEBTOON Your Story Starts on CANVAS Giveaway” (the “Giveaway”) will take place between May 2, 2022, at 6:00 p.m. (PDT) through May 16, 2022, at 6:00 p.m. (PDT) (“Giveaway Period”). Detailed information on the Giveaway is included in these Official Rules (“Official Rules”).  

By participating in the Giveaway, each user agrees to the Official Rules and WEBTOON’s Terms of Use and warrants that the entry complies with all requirements set out in the Official Rules. The Giveaway is sponsored by WEBTOON Entertainment Inc. (“WEBTOON”). 

2. ELIGIBILITY.  

The Giveaway is open to legal residents of all territories where participation in such a giveaway is allowed by applicable law. The Giveaway is otherwise void where prohibited or restricted by applicable law, including any territories where promotion licensing and registration is required and any territories sanctioned by the Office of Foreign Assets Control (OFAC) of the US Department of the Treasury, including Crimea, Cuba, Iran, Libya, North Korea, Russia, Sudan, Syria, Somalia and Venezuela.   

Entrants must be aged 13 years or older (as of the date of entry) to be eligible to participate in the Giveaway. All eligible entrants under the age of 18 must have parental consent in order to be eligible for the Giveaway and to claim the prize (See Prize Conditions for more details). WEBTOON employees, contractors, and interns, and immediate family members (spouse, parents, siblings, children) of such employees, contractors, and interns are not eligible to participate in the Giveaway. Entrants who have an ongoing CANVAS Series, an Original Series with WEBTOON or who are contracted to work on an upcoming Original Series for WEBTOON are not eligible to participate

THERE SHALL BE NO COST TO ENTER THE GIVEAWAY. 

3. SUBMISSION REQUIREMENTS.  

Each submission into the Giveaway consists of personal information requested in the entry process about each individual entrant or group, as well as the submission into the Giveaway. The Giveaway will be announced through a post on WEBTOON’s official Twitter and/or Instagram accounts. To participate, users must have an active, personal Twitter, and/or Instagram account, as well as have the latest update of the WEBTOON app and a WEBTOON account. 

Requirements for each qualified submission are as follows:

4.   RESTRICTIONS.  

Each submission must comply with WEBTOON’s Community Policy and Uploading Guidelines, including without limitation, the submission must be the original work of the individual entrant or team of entrants, and may not use stock materials from others; may not contain depictions of characters, symbols, titles, names, brand names, slogans or logos of any third party; may not be inappropriate, offensive, libelous or defamatory, pornographic, sexually explicit, unlawful or plagiarized, as determined by WEBTOON in its sole discretion; must not be harassing, abusive, threatening, harmful, vulgar, profane, obscene, excessively violent, overly graphic, racially, ethnically or otherwise objectionable or offensive in any way, as determined by WEBTOON in its sole discretion; may not violate or encourage others to violate any applicable law, statute, ordinance or regulation; may not defame or invade publicity rights or privacy of any person, living or deceased, or otherwise infringe upon any person's personal or property rights or any other third party rights (including copyrights, rights of privacy, publicity and so forth), or involve physical harm to any person or animal; may not include any viruses, worms, corrupt files, Trojan horses, or other forms of corruptive code or content that may harm or compromise the Service, as defined below, and/or the proper conduct of the Giveaway.    

WEBTOON’s computer shall serve as the official time keeping device for this Giveaway. WEBTOON will not verify receipt of entries. Entries will neither be acknowledged nor returned. If you choose to enter via your web-enabled mobile device, data rates may apply. See your wireless service provider for details on rates and capabilities.  This Giveaway is in no way sponsored, endorsed, or administered by, or associated with Twitter® or Instagram®. You are providing your information to WEBTOON and not to Twitter® or Instagram®. 

WEBTOON reserves the right, at any time, to verify the validity of entries and to disqualify any entrant who submits an entry that is not in accordance with these Official Rules or who tampers with the entry process. In the event WEBTOON determines there has been a violation of any of these restrictions, it may disqualify the subject entry, cancel any prizes awarded for the entry and/or remove the entry. Failure by WEBTOON to enforce any of its rights at any stage does not constitute a waiver of those rights. While an individual entrant or team of entrants may submit multiple qualified submissions, duplicate entries containing the same submission(s) are not allowed.   

Any type of fraud, or attempt to commit fraud, as well as any breach of these Official Rules, will result in the entrant being disqualified from the Giveaway, without the possibility of re-entry. 

Winners will be announced no later than 6:00 p.m. PDT on June 18, 2022. 

6. RIGHTS, OBLIGATIONS AND WARRANTIES 

Entrant(s) shall indemnify and hold WEBTOON harmless against any and all claims, liabilities and costs by any third party arising from a breach of any of the provisions in this Section 6.  

7. PRIZES.  

Giveaway prizes shall consist of fifty (50) Clip Studio Paint PRO activation codes for a single device plan (Windows, macOS, iOS, Android, Chromebook), with an approximate value of Fifty US Dollars (USD $50.00), to be awarded individually to up to fifty (50) eligible entrants who comply with these Official Rules. 

Entrants agree that, in the event that a team of entrants are selected as winners, only one (1) license will be awarded to such team of entrants. No prize substitution will be permitted, except at WEBTOON’s sole discretion. Prizes are nontransferable. ARV of prizes to be awarded is Two Thousand Five Hundred US Dollars (USD $2,500.00). 

8. WINNERS NOTIFICATION AND DELIVERY OF THE PRIZE.  

Once the winners are selected, WEBTOON will try to establish contact via private message on Instagram or Twitter 2 times, within 2 business days from the day the winners are selected. In this contact, personal data such as name, telephone number and email address (hereinafter the “Personal Data”) may be requested, which will be used for purposes of prize fulfillment only. In the event that it is not possible to establish contact with a winner within 2 business days from the date such winner is selected, WEBTOON is unable to deliver the prize for reasons beyond its reasonable control, or the winner otherwise fails to comply with terms of these Official Rules (including without limitation General Prize Conditions (Section 9)), WEBTOON reserves the right to disqualify the winner and select an alternate winner. 

In the event that a winner is a minor, they may be required to obtain an authorization signed by their parent or legal guardian and WEBTOON will be in contact with said parent or legal guardian for the delivery process.  

Once the winners have been contacted, any necessary final confirmation can be made through a WEBTOON representative via telephone, at WEBTOON’s sole discretion. WEBTOON is not responsible for fraudulent calls or emails made to users not by WEBTOON.  

Any type of fraud, or attempt to do so, as well as any breach of the terms and conditions described here, will result in the participant being disqualified from the Giveaway, without the possibility of being able to re-enter it. WEBTOON may verify fraud, attempted fraud, or non-compliance, by any means it deems appropriate. 

9. PRIVACY POLICY AND DATA COLLECTION.  

In accordance with WEBTOON’s terms of use, children under thirteen (13) years old are not allowed to participate in this Giveaway. If WEBTOON finds that a child under thirteen (13) years old has participated and/or has been selected as a potential winner, it shall immediately cancel such selection and delete the associated personal information. 

Users hereby agree that WEBTOON will collect users’ name, username(s), email addresses and other necessary personally identifying information, which will be used only for the delivery of the prize and for no other purpose. By providing this personal information, users are deemed to agree to the collection  and handling of the personal information by WEBTOON, and, if required, to regulatory authorities. WEBTOON will not use this information for promotional, marketing, publicity, research and profiling purposes. If users do not provide the personal information that is requested, they may be unable to participate in the Giveaway.

10. GENERAL PRIZE CONDITIONS. 

Each prize winner shall be solely responsible for all federal, state and/or local taxes, and the reporting consequences thereof, and for any other fees or costs associated with the prize.  Winners agree that WEBTOON may deduct and withhold from the prizes hereunder any sums, including all tax obligations, required to be withheld and/or paid by WEBTOON to any governmental authority pursuant to any law, statute, ordinance, rule, judgment, or decree now or hereafter in effect. Each potential winner may be required to execute an Affidavit of Eligibility and Liability/Publicity Release by email (collectively, “Prize Claim Documents”). In the event that a winner is a minor, such entrant shall be required to provide Prize Claim Documents signed by their parent or legal guardian, and WEBTOON will be in contact with said parent or legal guardian for prize fulfillment. Additional document(s) may be required for all winners, and all selected winner(s) must continue to comply with timely return of documents.  

If a user is found to be ineligible, or if a user does not comply with these Official Rules (including failure to return all Prize Claim Documents), then the potential winner will be disqualified, and an alternate winner may be selected, at WEBTOON’s sole and absolute discretion. Users waive the right to assert as a cost of winning a prize any and all costs of verification and redemption or travel to redeem said prize and any liability which might arise from  redeeming or seeking to redeem said prize. 

11. CONDITIONS OF PARTICIPATION. 

By entering this Giveaway and/or accepting any Prize you may win, you (and your parent/legal guardian, if applicable) agree, represent and warrant that: [a] you will be bound by these Official Rules and WEBTOON’s decisions, which shall be final in all respects; [b] you release and hold harmless each of WEBTOON, Twitter, Instagram, and any other organization responsible for sponsoring, fulfilling, administering, advertising or promoting this Giveaway, and their respective parent, subsidiaries, and affiliates and each of their respective officers, directors, members, employees, agents and subcontractors (collectively, the “Released Parties”) from any and all liability for claims, injuries, losses or damages of any kind, including without limitation, death and bodily injury, resulting, in whole or in part, directly or indirectly, from the awarding, delivery, acceptance, use, misuse, possession, loss or misdirection of the Prize; participation in the Giveaway or any other related giveaways, or from any interaction with, or downloading of, computer information; [c] the Released Parties do not make any representation, warranty or guarantee, express or implied, relating to the Giveaway or the Prize; [d] Winner’s acceptance of a Prize constitutes the grant to WEBTOON and assignment of an unconditional right to use Winner's username, name (first name and last only), address (city and state only), voice, likeness, photograph, biographical and Prize information, statements about the Giveaway and/or live and taped performances of interviews for any programming, publicity, advertising and Giveaway purposes without additional compensation, except where prohibited by law; [e] the Released Parties are not responsible for failed, partial or garbled computer transmissions, or for technical failures of any kind, including but not limited to electronic malfunction or damage of any network, hardware or software and for typographical or other errors in the offer or administration of this Giveaway, including but not limited to: human errors, errors in the advertising, these Official Rules, selection and announcement of the Winner and distribution of the Prize; [f] the Released Parties are not responsible for any inability of the Winner to accept or use the Prize (or any portion thereof) for any reason; [g] WEBTOON has the right to modify Prize award procedures at their sole discretion; [h] the Released Parties are not responsible for changes to functions that may interfere with the Giveaway or your ability to timely enter; and [j] Released Parties are not responsible for any failure of delivery of potential Winner notification. 

12. LIMITATIONS ON LIABILITY. 

Released Parties are not responsible for illegible, lost, late, damaged, destroyed, inaccurate, delayed, incomplete, postage due, unintelligible, non-delivered, misdirected, stolen entries; or for incomplete, inaccurate, lost, interrupted or unavailable network, satellite, telephone networks or lines, cellular towers or equipment (including  handsets), computer on-line systems, computer equipment, software, viruses or bugs, servers or providers, or other connections, availability or accessibility; or for unauthorized access to, or alteration of entries; or miscommunications, failed computer, telephone, cellular, satellite, or cable transmissions, lines or other technical failure; or for jumbled, scrambled, delayed, or misdirected transmissions, computer hardware or software malfunctions, failures or difficulties; or for any other errors of any kind, whether human, technical, mechanical, electronic or network, including, without limitation, any errors which may occur in connection with the administration of the Giveaway or in any Giveaway-related materials; or for the incorrect or inaccurate capture of entry or other information, or the failure to capture any such information.  Persons who tamper with or abuse any aspect of the Giveaway or Account used, as solely determined by WEBTOON, will be disqualified (and all associated entries will be void), and WEBTOON reserves the right to terminate such entrant’s eligibility to participate in this or any other Giveaways offered by WEBTOON.  Released Parties are not responsible for injury or damage to entrants’ or to any other person’s computer, electronic device or mobile device related to or resulting from participating in this Giveaway.  Without limiting the release provided above, and for greater certainty, Released Parties will not be liable for (a) any incomplete or inaccurate information, whether caused by wireless device users or by any equipment or programming associated with or utilized in the Giveaway, or by any technical or human error which may occur in the processing of entries; (b) the theft, destruction or unauthorized access to, or alteration of, entries; (c) any problems with or technical malfunctions of telephone networks or lines, computer on-line systems, servers or providers, computer equipment, software, viruses or bugs;  (d) any failure of any message to be received by or from WEBTOON for any reason including but not limited to traffic congestion on the Internet or wireless waves or at any website or combination thereof; or (e) damage to a entrant’s or other person’s system or equipment occasioned by participation in this Giveaway. WEBTOON shall not be responsible for any delays or impediments in the delivery of the Prizes to the winners. 

13. FORCE MAJEURE 

In the event WEBTOON is prevented from awarding prizes or continuing with the Giveaway as contemplated herein by any event beyond its reasonable control, including but not limited to fire, flood, natural or man-made epidemic of health of other means, earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared) or any federal state or local government law, order, or regulation, public health crisis (e.g. Coronavirus), order of any court or jurisdiction, or other cause not reasonably within WEBTOON’s control (each a “Force Majeure” event or occurrence), then subject to any governmental approval which may be required, WEBTOON shall have the right to modify, suspend, or terminate the Giveaway in its entirety, or the affected portion thereof. WEBTOON reserves the right to cancel, suspend and/or modify the Giveaway, or any part of it, if any fraud, technical failures, human error or any other factor impairs the integrity or proper functioning of the Giveaway, as determined by WEBTOON in its sole discretion. If terminated, WEBTOON may, in its sole discretion, determine the winners from among all non-suspect, eligible series nominated up to time of such action using the procedure outlined above. WEBTOON, in its sole discretion, reserves the right to disqualify any individual it finds to be tampering with the entry process or the operation of the Giveaway or to be acting in violation of the Official Rules of this or any other promotion or in an unsportsmanlike or disruptive manner and void all associated entries. Any attempt by any person to deliberately undermine the legitimate operation of the Giveaway may be a violation of criminal and civil law and, should such an attempt be made, WEBTOON reserves the right to seek damages and other remedies (including attorneys’ fees) from any such person to the fullest extent permitted by law. WEBTOON’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. 

14. GIVEAWAY INTEGRITY. 

These Official Rules cannot be modified or amended in any way except in a written document issued in accordance with law by a duly authorized representative of WEBTOON. If, for any reason, the Giveaway or any part thereof is not capable of running as planned, or if the Giveaway, or any website or application used in relation with the Giveaway, becomes corrupted, hacked, abused, tampered with, or otherwise does not allow for the secure, proper and fair functioning and administration of the Giveaway, WEBTOON reserves the right, at its sole discretion, to disqualify any implicated individual (and all associated entries will be void) and/or to cancel, terminate, modify, or suspend this Giveaway or any portion thereof. In the event the Giveaway is cancelled, WEBTOON shall work in good faith to award the Prize among all eligible, non-suspect entries received prior to the time of such necessary cancellation. 

15. DISPUTES.  

Users (and their parent/legal guardian, if applicable) agree that: (a) any and all disputes, claims and causes of action arising out of or connected with this Giveaway, or any Prize awarded, other than those concerning the administration of the Giveaway or the determination of the Winners, shall be resolved individually, without resort to any form of class action; (b) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Giveaway, but in no event attorneys' fees; and (c) under no circumstances will users be permitted to obtain awards for, and users hereby waive all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU.  All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the users and WEBTOON in connection with the Giveaway, shall be governed by and interpreted under the laws of the State of California, U.S.A, without giving effect to any choice of law or conflict of law rules.  By participating in these Giveaway, each entrant agrees that any and all disputes arising out of or relating in any way to these Giveaway shall be litigated only in courts situated in Los Angeles, California, U.S.A.
